Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of ChurchAgent.ai (the "Services"), operated by ChurchAgent, a division of ABBA Agency. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Description of Services
ChurchAgent provides an AI-powered platform that deploys a persistent digital agent across voice, chat, email, SMS, Slack, Telegram, and Google Chat channels. The Services include automated messaging, content generation, voice calling, task execution across connected third-party systems, and data analytics.
3. Accounts
You must provide accurate registration information and keep credentials confidential. If you register on behalf of an organization, you represent that you are authorized to bind that organization.
4. Subscription & Payment
- Subscriptions are billed in advance on a recurring basis.
- Fees are non-refundable except as specified or required by law.
- You are responsible for applicable taxes.
- We may modify pricing with advance notice prior to your next billing cycle.
5. Customer Content & Data
You retain all rights to content you submit to the Services ("Customer Content"). You grant ChurchAgent a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Services.
You are responsible for ensuring that you have the rights and consents necessary to submit Customer Content to the Services and to authorize the agent to act on it.
6. Agentic AI, Tool Use & Human Oversight
The Services use agentic AI to take actions on your behalf across configured systems. You acknowledge and agree that:
- Scoped authority. You are responsible for configuring and reviewing the scopes, permissions, and connectors you grant the agent. Actions taken within granted scopes are deemed authorized by you.
- Human review. AI-generated output may be inaccurate, incomplete, or inappropriate. You must review agent output and configure appropriate approval gates for sensitive actions before they are executed.
- Third-party systems. Your use of connected third-party services (e.g., Planning Center, Google Workspace, Slack, Mailchimp) is governed by your agreements with those providers. ChurchAgent is not responsible for the availability, accuracy, or policies of those systems.
- Model providers.The Services rely on foundation models operated by third parties including Anthropic. Your use is subject to those providers' usage policies.
- No training on your data. Customer Content is not used to train foundation models.
- Audit & override.You may pause, override, or revoke the agent's access at any time through the Services.
7. Acceptable Use
You agree not to use the Services to:
- Send spam, unlawful, harassing, or misleading communications
- Violate the Telephone Consumer Protection Act (TCPA), CTIA guidelines, CAN-SPAM, or similar laws
- Impersonate another person or organization
- Upload malware, attempt unauthorized access, or interfere with the Services
- Infringe intellectual property, privacy, or other rights
- Generate content that is unlawful or exploits minors
8. SMS & Voice Consent
For SMS and outbound voice features, you represent that you have obtained all required consents from recipients and that your messaging complies with applicable law. ChurchAgent will not sell mobile numbers to third parties for marketing purposes.
9. Intellectual Property
ChurchAgent owns the Services, including software, design, trademarks, and documentation. These Terms do not grant you any rights in our IP other than a limited, revocable license to use the Services. Feedback you provide may be used without obligation to you.
10. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHURCHAGENT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You will indemnify and hold harmless ChurchAgent and its affiliates from claims arising out of your Customer Content, your use of the Services, your violation of these Terms, or your violation of applicable law.
14. Termination
Either party may terminate for material breach if not cured within 30 days of notice. We may suspend the Services immediately for security, legal, or abuse-related reasons. Upon termination, your right to use the Services ends; we will make tenant data available for export for a reasonable period.
15. Changes to the Terms
We may update these Terms. Material changes will be posted on this page with a new effective date. Continued use after changes constitutes acceptance.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration in Harris County, Texas, except that either party may seek injunctive relief in court for intellectual property or confidentiality matters.
